Code of Ethics

This Code of Ethics sets out the standards of conduct we expect of everyone who works for or with Telos Studio Ltd — employees, directors, contractors, freelancers and suppliers acting on our behalf. It is short on purpose. We would rather have a small set of clear principles that everyone can remember than a long document no one reads.

1. Honesty with customers

We tell customers the truth about our products: how they are made, where each component comes from, what they will do for the customer and what they will not do. We do not exaggerate health claims. If we have made a mistake — a missed delivery, a fault, a misleading product description — we say so quickly and put it right.

2. Anti-bribery

We comply with the UK Bribery Act 2010 in everything we do. No one acting for Telos may offer, promise, give, request, agree to receive or accept a bribe in any form. This applies whether the other party is in the UK or abroad. Facilitation payments — small unofficial payments to speed up routine government action — are bribes and are prohibited.

3. Gifts and hospitality

Modest, infrequent gifts and hospitality given or received in the normal course of business are acceptable. As a working rule:

  • You may give or accept a gift up to a value of £50 without prior approval, provided it is not cash, not given to influence a decision and not accepted at a sensitive moment (for example during a tender).
  • Anything above £50 must be cleared in advance with a Director and recorded in the gifts register.
  • Cash and cash equivalents (gift cards above £25) are never accepted or offered.
  • Hospitality must be reasonable, proportionate and have a genuine business purpose. Tickets to a major sporting event or a holiday-style trip are not reasonable.

4. Conflicts of interest

A conflict of interest exists when someone’s personal interests — financial, family, friendship or otherwise — could improperly influence a decision they take for Telos. Anyone who has, or could be seen to have, such a conflict must declare it in writing as soon as they become aware of it. The default is to step back from the decision. We keep a conflicts register.

5. Confidentiality

You are entrusted with information about our customers, our colleagues, our suppliers and our plans. Treat all of it as confidential, even when it is not labelled as such. Do not discuss customer orders or supplier prices outside Telos. After your engagement ends, the duty of confidentiality continues.

6. Fair competition

We compete on the merits of our products and our service. We do not engage in price-fixing, market-sharing or bid-rigging. We do not exchange commercially sensitive information with competitors. If you find yourself in a conversation with a competitor that strays into these areas, leave the room (or the call) and tell a Director.

7. Money laundering and sanctions

We will not knowingly accept proceeds of crime as payment for our products. We do not accept cash payments above £7,000 for any single transaction. We screen orders to high-risk destinations and refuse orders that would breach UK or EU financial sanctions.

8. Health, safety and the environment

We work safely. Anyone who notices a hazard at the atelier or on a customer site is expected to stop work and raise it. We try to make less waste than we did last year, choose lower-impact materials where they perform, and pay for credible offsets only as a last resort.

9. Treatment of colleagues

We treat each other with respect, in line with our Equity, Diversity & Inclusion Policy. Bullying, harassment, victimisation and discrimination are not tolerated.

10. Complaints and speak-up

If you suspect a breach of this Code, raise it. The simplest way is to email ethics@teloswellness.co.uk in confidence. Concerns can also be raised under the Public Interest Disclosure Act 1998 (whistleblowing). Anyone who raises a concern in good faith is protected from retaliation. 11. Sanctions for breach

A breach of this Code may lead to disciplinary action, including dismissal in serious cases, and may also have legal consequences. For suppliers and contractors a breach may lead to termination of the relationship.

12. Approval and review

This Code is approved by the board of Telos Studio Ltd and reviewed at least every two years.
